TERMS OF BUSINESS
In the following terms & conditions “the photographer” shall mean Studio 24, Kodak Imaging Centre, Glam Xpress, Colvi Ltd, and all other affiliated companies to the above. “The clients” shall be any person who patronises Studio24, Kodak Imaging Center, Glam Xpress, Colvi Ltd, and any other affiliated companies.
These terms & conditions cannot be varied in any way by the clients unless such conditions are expressly agreed by the photographer in writing. Studio 24 and “The Photographer” are used interchangeably in the course of this Terms and Conditions. Goods and/or services in this Terms and Conditions includes but is not limited to the following: picture production, picture framing, photobooks, picture editing, makeup application, and makeup transaction.
1. Law
i. By Nigerian copyright law, the ownership of the copyright of ALL IMAGES captured by a photographer are vested in the photographer.
Consequently, all images captured by the photographer are owned solely by Studio24 and thus cannot be shared, manipulated or reproduced without the express permission of Studio 24 in writing.
2. Ownership
i. All photographic materials, such as original negatives, photos, images, pictures, portraits or slides, shall be the exclusive property of the Studio 24. Studio 24 shall own the copyright in all images created and may use the work for samples, contests, exhibition, advertising and self-promotion. Usage outside the bounds of this agreement will require the Client’s consent. In the unlikely event of usage outside the bounds of the agreement, your compensation from Studio 24 is limited to:
a) A remedy of the breach by removing the image within a maximum of 30 days after receiving the official complaint.
b) Monetary compensation for the breach not exceeding twenty-five thousand Naira only(N25,000) or services from studio24 at the equivalent sum.
3. Display
i. The client(s) hereby allow(s) the photographer to display any photograph
covered by this contract and to generally promote the business in advertising,
brochures, magazine articles, websites, sample albums etc.
4. Soft Copies
i. Notwithstanding the above studio24 will provide the client (at no extra monetary charge) with soft copies of images paid for by the customer and captured in any portrait session or event. Further to the above, all soft copy images shall carry the Studio 24 Logo.
5. Creative License, Coverage, and Reproduction
i. Photographs taken during the course of the event will be at the discretion of the photographer although every effort will be made to comply with the client’s requirements.
ii. Special requests are not binding instruction, although every effort is made to comply with the client’s wishes. Studio 24 will do their best to honour the requested photographs but does not undertake to guarantee any specific picture nor incorporate any specific background, location or group arrangements due to changes in weather and the availability and willingness of subjects.
iii. For any booking whatsoever, the photographer’s movements are sometimes restricted by the official in charge. The area from which the photographer is able to cover the event may not be the photographer’s choice and the photographer cannot accept responsibility for any obstructed view should this be the case.
iv. Although all equipment is checked regularly, and reasonable steps are taken to ensure the safety, security, and integrity of images, Studio24 will not be responsible for images, pictures, photographs or portraits that are lost, damaged, or misplaced including images, pictures, photographs or portraits that are not produced due to technical failure and other unforeseen circumstances.
6. Storage
Studio 24 stores the client files for up to 3 days after the photography session, and is not liable for any claims after this period. All client files will be deleted and backups will be purged after this period.
7. Body Parts
It is understood that Studio 24 is not responsible to fix photos to cover parts of your body that you do not wish to be seen in the photo, unless it was confirmed with the photographer in writing.
8. Obstruction
In the event that the family/guests and other professionals hired by the client are taking photos, Studio 24 is not responsible for obstructed photos or photos ruined due to separate flashes going off or due to any other behaviour from guests. Studio 24 is not responsible for obstructed or ruined photos due to activities by other professionals, vendors and venue staff.
9. Discretion
Client accepts that all photographs will be taken and edited at the Studio 24 photographer’s discretion based on the Studio 24 photographer’s experience and artistic view. If the client has special requests, they shall create a “shot list” of all shots that they require.
10. Payment
I. The booking fee is non-refundable and will confirm your booking, as well as full acceptance of this terms and conditions. The booking fee will be deducted from the cost of the client’s chosen package when calculating the final balance due.
ii. Payment in full of the remaining balance will be due two weeks before the day of service.
iii. Additional goods and services ordered must be paid for in full at the time of ordering.
iv. Titles to all goods and services remains with the photographer until paid for in full by the client(s)
11. Personal accident
i. Any directions issued to clients, their guests or employees during a photographic shoot are deemed to be at said person’s own risk. The photographer cannot be held responsible for any personal accidents during a photographic shoot.
12. Force Majeure
i. In the very unlikely events of cancellation by the photographer or of total photographic failure, liability shall be limited to a full refund of any fees paid.
ii. The photographer is not obligated to put the client(s) in touch with another photographer in the event they are unable to attend on the event date due to any cause beyond their reasonable control e.g. sudden illness, injury, victim of crime, flooding, traffic conditions, vehicle breakdown etc.
13. Delivery
i. The photographer will endeavour to deliver the goods and services as quickly as possible. However, this could take up to 4-6 weeks during busy periods. The photographer will not be liable for deliveries that take longer than the abovementioned duration.
